Please read these Terms of Use (“Terms”) carefully before using www.agenticengineeringinstitute.com and any related subdomains, communities, courses, events, checkouts, and digital products provided by Agentic Engineering Institute (“AEI,” “we,” “us,” or “our”) through AEI-approved services (collectively, the “Services”). These Terms incorporate by reference AEI’s Privacy Policy.
BY ACCESSING OR USING THE SERVICES, YOU AGREE TO THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICES.
ARBITRATION NOTICE & CLASS ACTION WAIVER: Except for limited types of disputes described in §14, disputes between you and AEI will be resolved by binding, individual arbitration. You waive the right to participate in a class action or class-wide arbitration.
You represent and warrant that you are at least 18 years old and have legal capacity to enter into these Terms. The Services are intended for professionals; use by minors is prohibited. If you register on behalf of an entity, you represent and warrant that you have authority to bind that entity.
To use certain features, you must create an account (“Account”) and provide accurate, complete information, updating it as needed. You are solely responsible for your Account activity and for safeguarding credentials. Notify AEI promptly of any suspected breach or unauthorized use. You may request deletion of your Account as permitted by the Services or by contacting us (see §18).
Your personal data is handled in accordance with AEI’s Privacy Policy. AEI uses vetted processors (e.g., Podia for hosting and delivery; Stripe/PayPal for payments) to operate the Services. Where required by law (e.g., GDPR/UK GDPR), AEI maintains data-processing agreements and appropriate transfer safeguards (such as Standard Contractual Clauses) between AEI and its vendors. These vendor terms govern the AEI vendor relationship and do not create obligations for end users.
A. Definitions. “Content” means all materials available through the Services, including text, images, videos, audio, diagrams, code, and “User Content” (content you submit).
B. Ownership. The Services and all AEI content, designs, trademarks, and logos are owned or licensed by AEI and protected by IP laws.
C. Limited License to You. Subject to these Terms and timely payment of fees, AEI grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access the Services and view Content solely for your personal, non-commercial, educational use. Any other use (including copying, distributing, reselling, public display, scraping, data mining, or creating derivative works) requires AEI’s prior written consent.
D. User Content License to AEI. By submitting User Content, you grant AEI a perpetual, irrevocable, worldwide, royalty-free, transferable, sublicensable license to host, store, use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display such User Content in connection with operating, improving, and promoting the Services.
E. Availability & Moderation. AEI may, at any time and without notice, remove, edit, block, or modify any Content or feature; AEI has no obligation to display or preserve Content.
A. Scope. Certain AEI materials—specifically the Agentic Engineering Body of Practice (AEBOP) and any associated schemas, diagrams, frameworks, taxonomies, checklists, maturity ladders, code templates, exemplars, and documentation (collectively, “AEBOP Materials”)—are licensed to you under the AEBOP License Agreement.
B. Agreement Link. The AEBOP License Agreement is available at:
https://www.agenticengineeringinstitute.com/aebop-license (the “AEBOP License”).
C. Precedence. If there is a conflict between these Terms and the AEBOP License with respect to AEBOP Materials, the AEBOP License controls. For all other Services and Content, these Terms control.
D. Use Requirements. Your access to AEBOP Materials is conditioned on strict compliance with the AEBOP License, including (as applicable) restrictions on reproduction, modification, redistribution, sublicensing, commercial exploitation, attribution, training/teaching, and derivative works.
E. Termination. Any breach of the AEBOP License automatically terminates your rights to AEBOP Materials and may result in suspension or termination of your Account and access to the Services, in addition to any other remedies available to AEI.
F. Enterprise Rights. Any expanded rights (e.g., internal enterprise training, redistribution to customers, integration into commercial products, or certification usage) require a separate written license executed by AEI.
You agree not to:
Violate laws or third-party rights; upload unlawful, defamatory, obscene, harassing, hateful, or otherwise objectionable content;
Transmit malware or harmful code; attempt to gain unauthorized access;
Spam or conduct unauthorized advertising/solicitations;
Impersonate any person or misrepresent your affiliation;
Collect or harvest information about others without permission;
Overload, disrupt, or interfere with the Services; bypass security or access controls;
Crawl, scrape, or spider the Services without AEI’s express written consent;
Reverse engineer, decompile, disassemble, or derive source code (except to the limited extent permitted by law).
AEI may access, preserve, and disclose information if reasonably needed to comply with law, enforce these Terms, address fraud/security/technical issues, respond to support, or protect AEI, users, or the public.
The AEI Community is a trusted professional space for engineers, architects, and leaders advancing the discipline of Agentic Engineering. By joining or participating in AEI communities, events, or discussion spaces, you agree to uphold the following Code of Conduct:
Be respectful and kind. Debate ideas, not individuals. Treat everyone with professionalism and courtesy.
Protect confidentiality. Keep discussions, shared materials, and personal information within AEI’s private community spaces unless you have express permission to share externally.
Add value before you promote. Do not post affiliate links, spam, or unsolicited marketing.
Support one another. Ask for help clearly, offer it generously, and lead with empathy.
Uphold professionalism. Keep discussions evidence-based, civil, and aligned with AEI’s mission and ethics.
Avoid harassment or unwanted attention. No discriminatory, abusive, or disruptive behavior, and no repeated unwanted direct messages or tagging.
Use designated channels for self-promotion. Share personal achievements or projects only where appropriate (e.g., member-showcase forums).
Keep it safe. Do not share illegal, explicit, or otherwise harmful content.
Enforcement. AEI reserves the right, in its sole discretion, to enforce this Code of Conduct. Depending on severity, actions may include:
A warning or reminder of the guidelines;
Temporary suspension of access to community spaces or Services;
Permanent removal of content or membership; and/or
Termination of your Account under §10 and §18.
AEI moderators and administrators act in good faith to maintain a safe, inclusive, and professional environment. Decisions are final but may be reviewed at AEI’s discretion upon written request. Violations that also breach law (e.g., threats, harassment, IP theft) may be reported to appropriate authorities.
The Services may link to or integrate third-party platforms (e.g., Podia, Stripe, PayPal, LinkedIn, YouTube, Zoom). You access third-party resources at your own risk. AEI is not responsible for their content, availability, security, or privacy practices, and inclusion does not imply endorsement.
A. Paid Services. Certain Services are fee-based (“Paid Services”). Prices, features, and tiers may change at any time.
B. Processing & Authorization. Payments are processed by third-party processors (e.g., Stripe/PayPal) through Podia and are subject to the processor’s terms in addition to these Terms. AEI is not responsible for processor errors. By purchasing, you authorize charges to your selected payment method for all fees and applicable taxes and permit AEI to correct billing errors (including after charge submission).
C. Auto-Renewal. Some offerings are subscriptions that automatically renew at the then-current non-promotional rate until canceled in your billing settings. You are responsible for all recurring charges until cancellation is effective. No prorated refunds for partial periods unless required by law.
D. Accurate Billing. Maintain current, complete billing details. If a payment fails or is reversed, you remain responsible for all amounts due and associated costs; AEI may suspend or terminate access.
E. Trials & Promotions. If provided, cancel before the trial ends to avoid charges.
F. Refunds. All sales are final unless AEI expressly states otherwise in writing or as required by law. AEI may issue goodwill refunds at its sole discretion; doing so does not waive this policy.
G. Chargebacks. Initiating an unauthorized chargeback may result in immediate suspension and recovery of amounts owed, plus costs and fees.
AEI materials are for informational and educational purposes only and do not constitute professional advice, warranties of outcome, or certification guarantees. The Services may include AI-generated content or tools which can be inaccurate or incomplete; you are responsible for independent review and decisions.
The Services may be updated, suspended, or discontinued (in whole or part) at any time without notice or liability. Features, content, and availability may vary by region, device, or account tier.
YOU EXPRESSLY AGREE THAT USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” AEI AND ITS DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, PARTNERS, SUPPLIERS, AND CONTENT PROVIDERS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. AEI DOES NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE, SECURE, UNINTERRUPTED, OR THAT DEFECTS WILL BE CORRECTED, OR THAT CONTENT WILL BE ACCURATE OR COMPLETE.
Some jurisdictions do not allow exclusion of certain warranties; some exclusions may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL AEI OR ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, PARTNERS, SUPPLIERS, OR CONTENT PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR ENHANCED DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, DATA, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.
AEI’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF: (A) FEES YOU PAID TO AEI FOR THE SERVICES IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) $250.
Some jurisdictions do not allow certain limitations; some limitations may not apply to you.
You agree to defend, indemnify, and hold harmless AEI and its affiliates, officers, directors, employees, contractors, partners, suppliers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (i) your use or misuse of the Services or Content; (ii) your User Content; (iii) your breach of these Terms; or (iv) your violation of any law or third-party right. AEI may assume exclusive defense and control; you will cooperate as reasonably requested.
If you believe Content infringes your copyright, send a written DMCA notice to AEI’s Copyright Agent at contact@agenticengineeringinstitute.com with: (a) your signature; (b) identification of the copyrighted work; (c) identification of the material and location; (d) your contact info; (e) a good-faith statement that the use is unauthorized; and (f) a statement under penalty of perjury that your notice is accurate and you are authorized to act. AEI may remove or disable access and, if appropriate, terminate repeat infringers.
A. Binding Arbitration (AAA). Any dispute between you and AEI arising from or relating to these Terms or the Services will be resolved by final, binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, before a single arbitrator, in King County, Washington, USA, in English. Judgment may be entered in any court of competent jurisdiction. This section is governed by the Federal Arbitration Act.
B. Exceptions. Either party may (i) seek injunctive or equitable relief for IP infringement/misuse in any court of competent jurisdiction; or (ii) bring an individual action in small claims court within jurisdictional limits.
C. Class Waiver. YOU AND AEI WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS-ARBITRATION, PRIVATE ATTORNEY-GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING.
D. 30-Day Opt-Out. You may opt out of arbitration/class waiver within 30 days of first accepting these Terms by emailing contact@agenticengineeringinstitute.com. Your opt-out does not affect other arbitration agreements you have with AEI (if any).
E. One-Year Limitations Period. Any claim arising out of or related to the Services or these Terms must be filed within one (1) year after the claim accrues, or it is permanently barred.
F. Severability. If the class waiver is found unenforceable, all of §14 is void and disputes will proceed in the state or federal courts in King County, Washington.
These Terms are governed by the laws of the State of Washington, without regard to conflicts of law rules. For any claims not subject to arbitration, you irrevocably submit to the exclusive jurisdiction and venue of the state and federal courts located in King County, Washington.
You represent you are not located in, under the control of, or a national or resident of any country or entity subject to U.S., UK, or EU sanctions, and you will not use the Services in violation of applicable export control or sanctions laws.
We may modify these Terms at any time. Updates are effective upon posting with a revised “Last Updated” date or upon notice to you (including by email or in-product notice). Your continued use after changes become effective constitutes acceptance. Your use is governed by the Terms in effect at the time of use.
Entire Agreement; Severability. These Terms (including the incorporated Privacy Policy and any posted Additional/Supplemental Terms) constitute the entire agreement and supersede prior or contemporaneous communications. If any provision is held invalid, it will be limited to the minimum extent necessary; the remainder remains in full force.
Force Majeure. AEI will not be liable for delays or failure to perform due to causes beyond its reasonable control (including internet or hosting failures, third-party platform outages, acts of God, war, labor disputes, or government actions).
Assignment. You may not assign or transfer these Terms without AEI’s prior written consent. AEI may assign or transfer these Terms without restriction, including in connection with a merger, sale, or reorganization.
No Agency. These Terms do not create any agency, partnership, joint venture, or employment relationship.
Notices. Unless otherwise specified, legal notices to AEI must be sent to contact@agenticengineeringinstitute.com. We may notify you electronically (email, in-product messages) or by posting.
No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
Headings. Headings are for convenience only and do not affect interpretation.
